Mr. Rising has represented clients in the organization and governance of limited liability companies, corporations, partnerships and limited liability partnerships. Mr. Rising has also represented clients in the reorganization and merger of business entities, in securing business financing and in financial workouts.
Over the years Mr. Rising has drafted numerous contracts for the purchase and sale of business entities. He has also drafted contracts for the purchase, sale or assignment of various business assets, including equipment, leases, business lines, offices, retail facilities, factories, intellectual property and real estate. Mr. Rising has also drafted agreements for the development of intellectual property and other business assets.
Mr. Rising's practice also includes drafting a wide spectrum of business operations contracts, including dealer supply contracts, manufacturer's representative agreements, intellectual property licenses, real estate purchase and sale agreements, equipment and fixture lease agreements, commercial property leases, professional service contracts, management agreements, and long-term purchase and supply contracts. Mr. Rising has represented creditors in obtaining security for and satisfaction of their accounts.
